These Terms and Conditions ("Terms") govern your use of the website, software, applications, platform, and portal ("Platform") operated by Thrive Fintech LLP ("we," "us," or "our") at www.thrivealgo.com. By accessing or using the Platform, you ("User" or "you") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform. We reserve the right to modify these Terms at any time by posting an updated version on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms.
1. Nature of Services
Thrive Fintech LLP provides an algorithmic trading platform that allows Users to connect their broker accounts and automate trades executed by our proprietary algorithms on their behalf. The Platform is a technology service provider and does not provide investment advice, financial advice, or manage funds. The information on the Platform is for educational and illustrative purposes only and should not be construed as a solicitation or offer to buy or sell securities, futures, options, or any financial instruments.
2. User Responsibilities
a. Eligibility: You must be at least 18 years old and have the legal capacity to enter into these Terms to use the Platform. By using the Platform, you represent that you meet these requirements.
b. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@thrivefintech.in if you suspect unauthorized use of your account.
c. Broker Account: You must connect a valid broker account to use our algo trading services. You authorize Thrive Fintech LLP to access and execute trades on your behalf through your connected broker account, subject to your selected strategies and settings.
d. Risk Acknowledgment: Algorithmic trading involves a substantial risk of loss and is not suitable for everyone. You acknowledge that trading decisions made by our algorithms may result in losses, and you alone bear the responsibility for evaluating the risks before using the Platform. Past performance is not indicative of future results.
3. Fees and Payments
a. Subscription Fees: Access to the Platform's algo trading services requires a subscription. Subscription fees are charged via Razorpay and may be monthly, quarterly, or annually, as specified at the time of subscription.
b. Automatic Renewal: Subscriptions automatically renew unless canceled by you at least 48 hours prior to the renewal date by emailing support@thrivefintech.in.
c. Payment Authorization: You authorize Thrive Fintech LLP and Razorpay to charge your credit card, debit card, UPI, or net banking for subscription fees and any applicable taxes. If a payment is not honored, we may suspend or terminate your access to the Platform.
d. Non-Refundable: All subscription fees are non-refundable, except as provided in our Cancellation and Refund Policy.
4. Intellectual Property
All content on the Platform, including software, algorithms, text, graphics, logos, and trademarks, is owned or licensed by Thrive Fintech LLP and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any content without our prior written consent.
5. Termination
a. By User: You may terminate your subscription by emailing support@thrivefintech.in at least 48 hours before the renewal date. Upon termination, you will lose access to the Platform's algo trading services.
b. By Thrive Fintech LLP: We may terminate or suspend your access to the Platform if:
- You breach these Terms
- Your payment is not honored or authorization is withdrawn
- We suspect fraudulent or illegal activity
- We discontinue the Platform or specific services, with notice to you
c. Effect of Termination: Upon termination, all subscription fees paid are non-refundable, and you must cease using the Platform.
6. Limitation of Liability
Thrive Fintech LLP does not guarantee the accuracy, reliability, or profitability of the Platform's algorithms or trading strategies. We are not liable for any losses, damages, or costs arising from your use of the Platform, including trading losses, system failures, or interruptions. The Platform is provided "as is" without warranties of any kind, express or implied.
7. Waiver of Liability
By using the Thrive Fintech LLP website, software, or services, you do so at your own risk. Thrive Fintech LLP makes no guarantees about the accuracy, reliability, or availability of the information or services provided. All content is offered "as-is" and "as-available" without any warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
Thrive Fintech LLP is not responsible for any losses or damages arising from your use of the platform, including decisions made based on its content. In all cases, the maximum liability of Thrive Fintech LLP is limited to ₹1. If you are dissatisfied with the platform or services, your sole remedy is to stop using them.
8. Indemnification
You agree to indemnify, defend, and hold harmless Thrive Fintech LLP, its partners, directors, employees, agents, information providers, and affiliates from and against any and all claims, actions, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to your violation of this Agreement. This includes, but is not limited to, claims involving intellectual property infringement or any use, access, or content or transactions performed on your behalf on or by Thrive Fintech LLP's website, software, applications, platform, or portal.
9. Regulatory Compliance
Thrive Fintech LLP adheres to applicable regulations, including those set by the Securities and Exchange Board of India (SEBI). You are responsible for ensuring your use of the Platform complies with all applicable laws and regulations.
10. Third-Party Services
The Platform integrates with third-party services, such as Razorpay for payments and broker platforms for trade execution. We are not responsible for the availability, accuracy, or performance of these third-party services. Your use of these services is subject to their respective terms and policies.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.
